# Terms of Service

Welcome to CatFee. By registering, placing an order, or calling an API, you accept these Terms. Please review the **geographic restrictions, pre-transaction resource checks, refunds, and liability limits**. Do not use the services if you disagree.
These Terms cover our website, APIs, bots, and third-party integrations. Users include direct users; integrating wallets, platforms, developers, and resellers (“Integrators”); and their end users. Integrators must display these Terms or a clear link before ordering and obtain necessary consent.
## 1. Service Definition and Basic Mechanisms
### 1.1 Nature of the Services
CatFee provides TRON Energy and Bandwidth delegation, reclamation, transaction broadcasting, APIs, nodes, and other published related services. Delegation does not transfer ownership of staked TRX. Resource delivery does not guarantee a subsequent transfer or contract execution.
### 1.2 Private Keys and Transaction Signing
CatFee does not request or hold wallet private keys or seed phrases. User wallet transactions are signed by users or their authorized systems. Seamless Energy forwards original signed transactions without modification. Transaction Handoff returns signed, unbroadcast delegation transactions for Integrators to broadcast and verify under product rules.
### 1.3 Payment and Settlement
Payment assets, resource quantities, rental periods, prices, and billing methods follow the order confirmation; estimates do not establish order acceptance. Users pay disclosed network fees; taxes follow applicable law and written agreements. Prepaid balance charges and returns follow these Terms and product rules.
## 2. Fees, Payments, and Refunds
### 2.1 Delivery and Finality
Ordinary rentals are delivered when resources are delegated on-chain to the specified address as agreed. **Rental fees corresponding to resources delivered as agreed are non-refundable.** This includes unused resources or subsequent transaction failures. Incorrect delivery and failure to provide the agreed rental period are exceptions.
Accepted orders cannot be canceled at will; early reclamation is not cancellation or an automatic refund. Usage-based or transaction-based products follow their specific billing rules. Transaction Handoff paid from an account balance is charged on confirmed resource delivery.
### 2.2 User Errors
Users must check the network, asset, amount, address, memo, resource quantity, validity period, and permissions. Users bear corresponding responsibility under applicable law for losses caused by incorrect inputs, insufficient estimates, or late broadcasting or use. These do not justify refunding an order delivered as agreed.
### 2.3 Payment Irregularities
For underpayments, overpayments, duplicates, or unmatched transfers, retain the order ID and payment hash and contact support. Funds received but not applied to delivered services may be returned after verification. Refunds arising from user payment errors may deduct necessary, disclosed blockchain fees.
Funds normally return to their original source; alternative addresses require verification of payment ownership. Recovery from addresses outside CatFee's control is not guaranteed. A payment hash or failed payment transaction does not establish receipt. Unreceived payment creates no delivery obligation unless the product expressly supports payment after delivery.
### 2.4 Non-Performance and Incorrect Charges
Where CatFee resource shortages or system failures prevent delivery by the deadline in the order or written agreement, fees for the undelivered portion will be refunded in full after verification. Duplicate or incorrect charges caused by CatFee will also be returned, without refund transaction fees. Other performance failures follow the order and applicable law.
Balance payments return to the account balance; on-chain payments normally return to their source. Integrators handle independently collected fees. CatFee will process claims within a reasonable period after necessary checks and provide progress on request.
Timeouts or ceasing to wait do not establish cancellation or failure. Check the original order before paying or ordering again. Continued non-delivery without an agreed deadline may also be investigated and refunded; the absence of a deadline does not justify retaining funds indefinitely.
## 3. Resource Validity and Network Rules
### 3.1 Rental Periods and Reclamation
Quantities, rental periods, and reclamation conditions follow the order and rules disclosed at purchase. CatFee may reclaim resources on expiry or when disclosed immediate or early reclamation conditions are met.
### 3.2 Consumption and Replenishment
Unused resources do not automatically become cash, extend a period, or roll over. Availability varies with consumption, recovery, and replenishment; the initial quantity is not guaranteed at all times. CatFee must still fulfill agreed replenishment obligations.
### 3.3 Network Changes
TRON parameters and contract changes may affect resource needs and costs. CatFee may adjust new-order prices or service methods without retroactively changing confirmed prices or billing rules.
### 3.4 Resource Checks Before Transactions
This applies to all resource services, including ordinary rentals, TRON Mate, and Transaction Handoff. **Users or Integrators broadcasting their own transactions must verify on-chain delivery and sufficient current resources before each transaction, and comply with validity, frequency, and concurrency limits.** Payment, order acceptance, or a hash alone does not establish delivery.
Pause and investigate insufficient resources, uncertain status, or unexpected TRX burning. Automated integrations must implement checks and pause mechanisms. Users or Integrators bear corresponding responsibility under applicable law for losses caused or increased by failing to take these reasonable steps.
Where CatFee controls resource preparation and broadcasting, such as Seamless Energy, CatFee must perform checks and broadcasting duties under the product terms. This section does not excuse CatFee's own breach, fault, or statutory liability.
## 4. API Use, Availability, and Account Security
### 4.1 Use and Rate Limits
Follow documented authentication, frequency, and concurrency limits. Excess requests may return HTTP 429 or a business error. Attacks, limit evasion, and unauthorized access are prohibited. For uncertain results, check the original order and retry with the same idempotency identifier under API rules. New identifiers may create separate orders and charges.
### 4.2 Service Availability
CatFee takes commercially reasonable measures to operate its services, targeting 99.9% API availability. Unless an applicable plan or written SLA expressly provides otherwise, this target and typical delivery times do not guarantee uninterrupted service, deadlines for every order, or automatic compensation.
To the extent permitted by law, CatFee is not liable for damages from interruptions or delays beyond its reasonable control, including TRON stalls, forks, severe congestion, or third-party failures and DDoS attacks that could not reasonably be prevented. Maintenance and security fixes will be announced in advance where practicable. Refund and statutory obligations remain unaffected.
### 4.3 Account Security and Unauthorized Activity
Users must protect passwords, API credentials, authentication tools, wallets, email, and devices; manage authorized personnel; and use applicable measures such as two-factor authentication and IP allowlists. Users bear corresponding responsibility for account compromise, unauthorized exchanges, or transfers caused by credential leaks, account sharing, phishing, compromised devices, or user or Integrator personnel, where not attributable to CatFee.
CatFee may reasonably rely on instructions passing applicable identity verification, transaction authorization, and permission checks without manually verifying each operator. This does not apply where unauthorized activity is known or reasonably suspected, or law or the parties' agreement requires further checks.
Users must promptly report anomalies, disable or replace compromised credentials, and cooperate with checks. They bear responsibility under applicable law for additional losses caused by delayed reporting or non-cooperation. CatFee must take reasonable, timely restriction measures upon notice sufficient to identify the account and risk.
Blockchain transactions may be irreversible; recovery is not guaranteed. Assistance, discounts, or rebates do not admit liability. CatFee's own breach, fault, and statutory liability remain covered; jointly caused losses are allocated under applicable law. Retain order and transaction records; never give support private keys, seed phrases, or complete API Secrets.
### 4.4 Integrator Responsibilities
Integrators must accurately present fees, addresses, and service conditions; obtain authorizations; enforce geographic and compliance restrictions; and handle their own charges and support. Without authorization, they must not promise principal protection, guaranteed returns, fault-free service, fixed delivery times, or additional compensation on CatFee's behalf.
## 5. Eligibility and Compliance
### 5.1 Prohibited Uses
Users must be at least 18 and have full legal capacity; organizational representatives must be authorized. Money laundering, terrorist financing, fraud, phishing, illegal fundraising, theft, sanctions evasion, and other illegal activities are prohibited. Users and represented entities must meet applicable sanctions requirements, including ownership and control restrictions.
### 5.2 Risk Reviews
For reasonably suspected breaches, fraud, stolen assets, or other material risks, CatFee may investigate, refuse, suspend, or terminate services, restrict accounts or APIs, and cooperate with competent authorities as required by law. Users must provide necessary information truthfully. CatFee does not promise real-time screening of every address or guarantee transaction legality.
Suspension or termination is not confiscation. Following necessary checks, payments for unfulfilled services and refundable balances will be handled lawfully, subject to legally required freezes or restrictions. Handling status will be explained where permitted.
### 5.3 Geographic Restrictions
**CatFee does not serve individuals or organizations located, incorporated, or ordinarily resident in mainland China.** Here, mainland China excludes Hong Kong, Macao, and Taiwan; the restriction is not based on nationality alone. Other locations where providing the services is legally prohibited are also restricted.
Circumvention through VPNs, proxies, false information, other people's accounts, or third-party integrations is prohibited. Integrators must not serve end users they know, or should know after reasonable checks, are restricted. Users elsewhere must still comply with applicable law.
## 6. Disclaimers and Liability Limits
### 6.1 Service Condition
To the extent permitted by law, except for express commitments in these Terms or written agreements, services are provided as is and as available, without guarantees of fitness for a particular purpose or successful business transactions. Asset volatility, user errors, third-party contracts, and network events may cause losses. Service descriptions are not investment, legal, or tax advice.
### 6.2 Liability Cap
To the extent permitted by law, aggregate damages for claims relating to one order cannot exceed the service fees actually paid to CatFee for that order. For multiple related orders, the cap is their combined fees.
For subscriptions and automatic replenishment, the cap is the subscription fees plus resource usage and replenishment fees actually paid for the affected service during the disputed billing period, including paid resource fees where subscription fees were waived. Business transaction principal, the entire account balance, and expected returns are excluded from this calculation.
### 6.3 Indirect Losses and Exceptions
To the extent permitted by law, CatFee is not liable for indirect, incidental, special, consequential, or punitive losses, including lost profits, goodwill, and business interruption losses falling within those categories.
Refunds, returns of incorrect charges, and balances due for return are not subject to the damages cap. No exclusion or limitation removes liability for fraud, willful misconduct, or anything that cannot lawfully be excluded or limited, or affects mandatory consumer rights.
## 7. Updates and Dispute Resolution
### 7.1 Updates to These Terms
Updates are published through the website, documentation, or official channels with an effective date. Material changes receive reasonable advance notice, except for legal or urgent security requirements. Continued use after effectiveness constitutes acceptance. Except as required by law, updates do not retroactively change confirmed orders or accrued rights and obligations.
### 7.2 Governing Law and Disputes
These Terms are governed by the laws of the applicable country or region. Disputes should first be discussed amicably; unresolved disputes may be submitted to an arbitration body in our jurisdiction. Express provisions in a written agreement between the parties take precedence.
### 7.3 Applicable Documents and Other Rights
Conflicts are resolved in this order: a written agreement signed by both parties; specific terms expressly disclosed and incorporated at purchase; these Terms. General no-refund wording does not exclude refunds for non-performance or incorrect charges caused by CatFee. Translation differences cannot broaden exclusions or remove mandatory rights.
CatFee's brands, software, documentation, and technology are protected by intellectual property rights. Users retain lawful rights in their content and permit its use for service delivery, support, and necessary compliance handling. Personal information is handled under applicable law and disclosed privacy notices; Integrators must obtain necessary data authorizations.
